SCALE2SELL® · Pillar 03 of 08

# Financial Clarity & Drivers: *numbers you control*

Every serious conversation about your business turns, sooner or later, to the numbers. This pillar is about knowing them well: the metrics that matter, the drivers behind them and forecasts you can trust.

Why this pillar moves value

## Clear numbers make a business *easier to buy*

Buyers and investors rarely take reported profit at face value. They look for the earnings the business can sustain under new ownership, and they test every figure behind them. Where the numbers are late, inconsistent or hard to explain, confidence falls and the questions multiply.

Clarity is more than timely accounts. It means knowing the few measures that drive your business, such as gross margin, recurring revenue, debtor days and cash, and reviewing them often enough to act. The Radar runs from poor visibility, through regular reporting, to full financial control.

This is preparation, not accountancy. We help you see your numbers the way a buyer’s advisers will; your accountant prepares and signs off the figures. If you need one, [ICAEW’s directory](https://www.icaew.com/about-icaew/find-a-chartered-accountant) lists chartered accountants across the UK.

Weighting the Composite Worth Index

The four metric groups you weight

- Financial
- Sales
- Engagement
- Customer

Illustrative. You set each weight in the dashboard, and together they total 100%.

**Early Growth: Sales-driven scaling.** For a business still building the engine that wins new work.

**Mature / Pre-Exit: Balanced optimisation.** For an established business preparing for a sale.

**Turnaround: Stabilisation and culture.** For a business that needs to steady itself, and its people, first.

The Executive Dashboard’s suggested weighting profiles, by stage of the business| Profile | Focus |
|---|---|
| Early Growth | Sales-driven scaling |
| Mature / Pre-Exit | Balanced optimisation |
| Turnaround | Stabilisation and culture |

The Executive Dashboard in Toolkit 3a turns weighted KPIs into a quarterly Composite Worth Index. You tailor the weights to your stage, and they must total 100%. It suggests three profiles to start from; the weights themselves are in the dashboard, in your Stratworth Vault.

The buyer’s lens

## What buyers examine *in your numbers*

Financial due diligence is usually the most detailed part of a buyer’s review. These are the areas it commonly covers.

1.

### Quality of earnings

Whether profit is sustainable, and which items are one-off or relate only to the current owner.

2.

### Margins

Gross and net margins over time, and by service or customer.

3.

### Cash and working capital

How profit turns into cash, and how quickly customers pay.

4.

### Management information

Prompt monthly accounts, and whether decisions are made from them.

5.

### Forecasts

Forecasts that have held up against what really happened.

6.

### Records

Statutory accounts, filings and [company and accounting records](https://www.gov.uk/running-a-limited-company/company-and-accounting-records) kept up to date.

Warning signs

## Signs your numbers will *slow things down*

These are among the most common reasons financial due diligence drags, and all are easier to fix early.

Take the self-check

-

Management accounts arrive late, or not at all.

-

You know your turnover well, but your margins only roughly.

-

Personal and business costs are mixed in ways that need explaining.

-

Cash is often tighter than the profit figure suggests.

-

Forecasts are rarely compared with what actually happened.

What good looks like

Monthly management accounts arrive promptly and drive decisions. You know your key metrics and the few drivers that move them. One-off and personal items are separated, cash is forecast and checked against actuals, and statutory records are current.

How we work on it with you

## Getting the numbers ready, *alongside your accountant*

We do not replace your accountant. We help you see your numbers the way a buyer’s advisers will, and decide what to improve first.

The work happens in the detail: the numbers, reviewed until they tell a clear story.

1.

### On your strategy calls

We work through what drives your profit and cash and what would weaken a buyer’s confidence, then agree what to improve first.

2.

### Between calls

Toolkit 3 and the Executive Dashboard give you a quarterly view of your key measures and a Composite Worth Index to track.

3.

### On Advisory+ and the Exit Programme

Deeper valuation mapping shows how your numbers connect to value; the Exit Programme adds a quarterly review of your management accounts. It is never a formal valuation.
