SCALE2SELL® · Pillar 08 of 08

# Exit Readiness: *prepared for a sale on your terms*

Every exit route asks different things of the business and of you. This pillar brings your objectives, your timeline, your appeal to buyers and the risks they will look for into one plan: the plan the other seven pillars serve.

Why this pillar moves value

## The plan the other *seven pillars serve*

Many founders put off thinking about their exit until something forces the question: an approach from a buyer, a change in health, a partner who wants out. Decisions made under that kind of pressure seldom produce the outcome the founder would have chosen.

A clear plan changes that. When you know your objectives, your timeline, the buyers the business would suit and the routes that could work, every other decision gets easier: what to grow, what to fix, who to develop. The Radar runs from no plan, through early planning, to fully exit-ready.

Readiness also means finding the red flags before a buyer does. Legal risks, reliance on you, unclear ownership or dependence on one market are far easier to resolve calmly, well before due diligence.

7. 07[Market Position & Brand Strength](https://www.stratworthadvisory.com/scale2sell/market-position-brand/)
8. 08 Exit Readiness

Each of the first seven pillars makes the business more valuable, and more transferable. The eighth decides where that value goes, when and on whose terms.

The buyer’s lens

## What buyers and investors *want to understand*

Buyers and investors want to understand you as well as the business. These questions come up often.

1.

### Why you are selling

A clear, credible reason reassures a buyer. An unclear one raises questions.

2.

### Your role afterwards

Whether you will stay for a handover, in what capacity and for how long.

3.

### Predictable revenue

Whether income recurs, and whether there are growth levers a new owner could pull.

4.

### Clean, accessible records

Financials, contracts and processes that are documented and easy to review.

5.

### Red flags

Disputes, debt, unclear ownership, or reliance on one founder, customer or market.

6.

### Timing

Whether you are selling from strength, with a record of performance, or under pressure.

Warning signs

## Signs the plan has *not caught up yet*

Every founder leaves one day. These signs suggest the plan has not caught up.

Take the self-check

-

You have no clear view of when, or how, you would like to exit.

-

You have a number in mind, but no idea whether the business supports it.

-

You have not considered which kind of buyer the business would suit.

-

You have never taken tax or legal advice about an exit.

-

Due diligence might turn up something you would rather not explain.

What good looks like

You know what you want from an exit, roughly when, and which routes and buyers could deliver it. You have tested your expectations against what drives value, taken early tax and legal advice and dealt with the red flags. The plan shapes what the business works on each quarter.

Exit Worth

## Plan for the life after, *not just the deal*

### Your number

What you need from the exit to fund what comes next. Take advice from your tax adviser early on what you would actually keep; GOV.UK’s guidance on [Capital Gains Tax for business](https://www.gov.uk/capital-gains-tax-businesses) is a starting point.

### Your timing

When you would like to leave, and how much time that gives you to prepare the business and the people in it.

### Your role afterwards

Whether you want to stay on for a period, step back gradually or leave cleanly, and what you will do with the time.

How we work on it with you

## Building your exit plan *with you*

We prepare you for the process; we do not run it. When the time comes you will appoint deal advisers, a solicitor and a tax adviser, and you will arrive well prepared.

1.

### On your strategy calls

We start with what you want, when and why, then test the routes that could deliver it and what each would need to work.

2.

### Between calls

Toolkit 8 in your Stratworth Vault scores your objectives, buyer appeal and red flags, and ends with the two or three exit barriers to tackle next quarter.

3.

### On Advisory+ and above

An exit pathway review and deeper valuation mapping; on the Exit Programme, a quarterly review of data-room readiness and an exit roadmap updated each quarter.
